Terms of Service

1. Acceptance of Terms

By accessing and using ProTrades (web application and mobile app), you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use ProTrades.

2. Description of Service

ProTrades is a field service management platform designed for blue collar professionals to:

• Track and manage jobs
• Record work hours with time cards
• Create and send invoices, proposals, and estimates
• Communicate with team members
• Manage client relationships
• Track job locations and progress

3. Eligibility

You must be at least 18 years old and legally able to enter into agreements to use ProTrades. One person per account (no sharing credentials).

4. User Accounts

You are responsible for:

• Providing accurate, current, and complete information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

5. Acceptable Use

You agree to:

• Use ProTrades only for lawful purposes
• Provide accurate job and time tracking information
• Not interfere with or disrupt the app's functionality
• Not attempt to gain unauthorized access to any systems
• Respect intellectual property rights
• Not upload malicious files or inappropriate content
• Comply with all applicable laws and regulations

6. Mobile App Specific Terms

Location Services: By enabling location services, you consent to collection of GPS coordinates during app usage for job tracking, automatic clock-in/out, and location-based features. You can disable location services at any time, though some features may not function properly.

Camera & Photos: By granting camera and photo access, you confirm you have rights to any photos you upload and acknowledge photos may be visible to other company users and shared with clients as part of job reports.

7. AI Features

AI features are optional and provide suggestions only. Users are responsible for reviewing and verifying all AI-generated content. ProTrades does not guarantee accuracy, profitability, or compliance with laws or codes.

8. Company Data & Permissions

Data Ownership: Your company owns all data created in ProTrades. Company owners have full access to all company data.

Role-Based Access: Your access is determined by your assigned role. Company owners control role permissions, which can be changed at any time.

9. Payments & Subscriptions

Some features require payment via Stripe. Billing terms are governed by the Billing Policy. Individual users do not pay directly for the mobile app; subscriptions are managed at the company/organization level.

Invoice Payment Processing (Stripe Connect):

ProTrades enables businesses to accept payments from their clients through their own Stripe accounts. By connecting your Stripe account to ProTrades, you acknowledge and agree:

• Independent Stripe Account: You create and maintain your own independent Stripe account, subject to Stripe's Connected Account Agreement.
• Merchant of Record: You are the merchant of record for all transactions processed through your Stripe account. This means you, not ProTrades, are responsible for the sale.
• Disputes & Chargebacks: You are solely responsible for handling all disputes, chargebacks, refunds, and customer service related to payments you receive.
• Stripe Fees: You pay Stripe's standard transaction fees directly to Stripe. ProTrades does not collect or mark up these fees.
• Funds & Payouts: Payments go directly to your Stripe account and then to your bank. ProTrades never holds, controls, or has access to your funds.
• No Platform Liability: ProTrades is not liable for any payment disputes, chargebacks, fraud, negative balances, or financial losses related to payments you receive through your connected Stripe account.

10. Account Termination

By You: To delete your account, contact us at sabri@protrades.ai. Account deletion is permanent and cannot be undone. Some business records may be retained for legal compliance.

By Us: We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, compromise security, or if your company's subscription ends.

Company Owners: Must transfer ownership or delete the company before deleting their account.

11. Intellectual Property

ProTrades owns the platform and technology. Users retain ownership of their data and content. You may not copy, modify, or distribute our intellectual property.

12. User Content License

You retain ownership of all content you create or upload to ProTrades (including estimates, proposals, photos, documents, and other materials). By uploading content, you grant ProTrades a limited, non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your content as necessary to provide the service
• Create backups and maintain data integrity
• Share content with users you authorize (team members, clients viewing proposals/invoices)

This license exists solely to enable ProTrades to provide the service and terminates when you delete your content or account, except for content shared with others or retained for legal compliance. You represent that you have all rights necessary to upload content and that your content does not infringe on any third-party rights.

13. Third-Party Services

ProTrades integrates with Stripe, Supabase, Google Analytics, OpenAI, Amazon Textract, QuickBooks, and Expo (mobile services). Use of these services is subject to their respective terms and policies.

14. Disclaimers & Limitations

Service Availability: The app is provided "as is" without warranties. We do not guarantee uninterrupted or error-free service.

Limitation of Liability: ProTrades is not liable for indirect, incidental, or consequential damages. Our liability is limited to the amount paid for the service in the 12 months preceding the claim.

Time Tracking Accuracy: GPS-based clock-in/out is for convenience, not legal proof. Users are responsible for accurate time reporting.

Not Professional Advice: ProTrades is a software tool, not a professional services firm. Estimates, proposals, job costing calculations, and AI-generated content provided through ProTrades are for informational purposes only and do not constitute professional, legal, financial, or engineering advice. You are solely responsible for verifying all calculations, pricing, and content before presenting to clients or relying on them for business decisions. ProTrades is not responsible for errors in your estimates, lost bids, or any business outcomes resulting from use of the software.

Contractor Licensing: ProTrades does not verify, validate, or guarantee that you or any user holds proper contractor licenses, permits, insurance, or bonding required in your jurisdiction. You are solely responsible for ensuring you are properly licensed and compliant with all local, state, and federal regulations applicable to your trade and the work you perform. ProTrades makes no representations about the licensing status of any user.

Data Backup: While we implement industry-standard backup procedures, you are responsible for maintaining your own backups of critical business data. ProTrades is not liable for any data loss, regardless of cause. We recommend exporting important records regularly.

15. Indemnification

You agree to indemnify and hold harmless ProTrades from any claims, damages, or expenses arising from your use of the app, violation of these Terms, violation of any laws, or content you upload.

16. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes through in-app notifications, email, or by updating the "Last Updated" date. Continued use after changes constitutes acceptance of the new Terms.

17. Governing Law & Arbitration

These Terms are governed by the laws of California, without regard to conflict of law principles. Disputes are resolved through binding arbitration under California law. You waive the right to participate in class actions.

18. Electronic Communications

By creating an account, you consent to receive electronic communications from ProTrades, including service announcements, administrative messages, billing notifications, pilot expiration reminders, and updates to these Terms. These communications are part of your relationship with us and you may not opt out of them while maintaining an account. You may manage marketing communication preferences in your account settings.

19. Force Majeure

ProTrades shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, power outages, internet service provider failures, or actions of government authorities.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21. Entire Agreement

These Terms of Service, together with the Privacy Policy and Billing Policy, constitute the entire agreement between you and ProTrades regarding your use of the service and supersede all prior agreements and understandings.

22. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by ProTrades.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ProTrades may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

24. Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

26. Acknowledgment

By using ProTrades, you acknowledge that you have read and understood these Terms, agree to be bound by these Terms, and have the authority to enter into this agreement.
